Merger-control screening
Review structure, parties and group data against current notification requirements; record assumptions and gaps.
M&A parties should screen Indonesian competition filing obligations before fixing signing and closing mechanics. Counsel can map control changes, group data and transaction steps against current KPPU rules, then coordinate any filing or agency response without assuming every deal has the same threshold or process.
Merger control is a transaction workstream, not a last-minute form. A share acquisition, merger or other control change may raise notification questions based on the parties’ groups, assets, sales, local nexus and applicable rules. Transaction documents should identify who supplies data, who files, how agency review affects closing and what happens if additional information is requested.
Early preparation needs a clear ownership chart, audited financial and sales data for relevant groups, transaction structure, market and product descriptions, customer and competitor information, and proposed closing sequence. Data definitions and reporting periods matter. A preliminary screen can flag a potential filing, but counsel should verify the current regulations, thresholds and computation method before stating that a notification is required or not required.
The parties are negotiating an acquisition or merger and have not assigned responsibility for competition filing.
The target or buyer is part of a wider corporate group with incomplete asset or sales data.
A proposed transaction includes control rights, staged closings or options that may affect timing analysis.
The parties need to include a regulatory condition or long-stop mechanism in the SPA.
KPPU requests information or contacts a party about a completed or pending transaction.
UU 5/1999, as amended, and its implementing rules provide the Indonesian competition framework. PP 57/2010 addresses merger, consolidation and share acquisition notification; notification requirements, thresholds, timing and computation must be checked against current rules and KPPU instruments. Do not reuse thresholds or deadlines from a prior matter without confirming the transaction date, parties, group perimeter and rule version.
The notification analysis should distinguish corporate closing requirements from competition-law obligations. Counsel needs to verify whether the transaction falls within the relevant rule, which entity or group data is included, how control and local connection are treated, and whether any post-closing or procedural deadline applies. KPPU review may involve requests for information or substantive analysis; parties should preserve consistent data and avoid unsupported statements about market impact.
We conduct a documented screening using the transaction structure and group information, identify missing data and confirm the current rule set before giving a filing recommendation. If a filing is indicated, we coordinate information requests across the parties and prepare a consistent description of the transaction, business activities and supporting data.
We also review the SPA’s filing covenant, cooperation duties, cost allocation, information safeguards, closing condition and long-stop provisions. If KPPU seeks clarification, we help organize the response and evidence while management and economic advisers confirm commercial and market facts. Final responsibility for complete and accurate data remains with the relevant parties.
Review structure, parties and group data against current notification requirements; record assumptions and gaps.
Organize transaction, ownership, asset, sales and market information for a potential KPPU submission.
Review filing responsibility, cooperation, confidentiality, conditions and closing-risk allocation.
Coordinate document collection and legal responses to agency information requests or review questions.
No. The obligation depends on the transaction type, control, parties and group-level criteria under rules in force. A transaction-specific screen using verified group data is needed before concluding that filing is or is not required.
Provide the transaction steps, ownership and control chart, relevant group financial data, Indonesian business activities, asset and sales information, and expected signing and closing dates. Counsel must confirm the proper entity perimeter, measurement period and calculation method under current rules.
The applicable timing and procedural sequence must be checked against current law and the transaction facts; do not assume a single timing rule for every deal. The SPA should allocate filing responsibility and address review-related delay or conditions based on counsel’s verified analysis.
Preserve the request, identify the deadline stated by the agency and coordinate a complete, consistent response with the relevant business teams. Counsel can clarify scope and organize evidence, while factual market and financial statements should be validated by the parties and any economic adviser.
