Bankruptcy exposure assessment
Review debt schedules, creditor records, security, cash flow, and available procedural alternatives.
Company insolvency decisions affect control of assets, employee and supplier continuity, and creditor recoveries. Integra Law Office advises companies and creditors on bankruptcy risk, available alternatives, and proceedings before the competent Commercial Court in Surabaya.
A company under payment pressure should distinguish a temporary liquidity shortfall from a balance-sheet or operational crisis. Directors and finance teams should prepare a current creditor list, maturity schedule, security documents, cash-flow information, asset register, and records of disputed claims. These records help counsel compare negotiation, restructuring, PKPU (suspension of debt payment obligations), and bankruptcy exposure without assuming any route is suitable.
For creditors, the decision to petition is not only about whether an invoice is overdue. Consider the legal elements, the quality of debt evidence, secured status, competing creditors, asset position, and likely recovery route. A petition can alter the company’s control and operations; premature or poorly supported steps may create cost and commercial fallout.
A company cannot meet several matured obligations and needs to evaluate restructuring options.
A creditor considers a bankruptcy petition after payment demands have gone unanswered.
The company receives a petition and must gather evidence and decide how to respond.
Management needs to understand what may happen to assets and operations after a bankruptcy declaration.
A creditor needs to prepare and substantiate a claim in an insolvency process.
Law No. 37 of 2004 on Bankruptcy and PKPU provides the Indonesian statutory framework. Article 2(1) sets out the bankruptcy petition test, including two or more creditors and at least one debt that is due and payable but unpaid; the court must also consider the statutory requirements and evidence. A petition is not a simple collection shortcut, and counsel should verify the claim, standing, forum, and current law before filing.
A bankruptcy declaration has consequences for the debtor’s authority over assets included in the bankruptcy estate and the role of a curator under the statute. Secured creditors, preferred claims, and concurrent claims may be treated differently, subject to the governing rules and facts. The Surabaya Commercial Court may be the competent forum for a debtor within its territorial jurisdiction; company domicile and statutory venue rules must be checked.
For a debtor, we review the petition and service record, reconcile asserted debts against contracts and payments, identify disputed or contingent amounts, and assess negotiation or PKPU as alternatives. The response strategy must reflect the evidence and procedural posture; it should not rely on unsupported denials or assumptions about creditor conduct.
For a creditor, we test whether claim documents, maturity, and non-payment can be shown, and review security and competing claims before recommending a route. If proceedings continue, we assist with filings, hearings, claim documentation, and communication concerning administration of the estate. Decisions on declaration and distribution rest with the court and statutory process.
Review debt schedules, creditor records, security, cash flow, and available procedural alternatives.
Prepare or respond to a bankruptcy petition with the supporting agreements, account records, and procedural documents.
Organize proof of debt, payment history, security documents, and claim correspondence for the insolvency process.
Advise on communications, asset records, and creditor rights during statutory administration and distribution.
Gather the underlying agreement, invoices or account statements, proof of maturity, demand and response records, payment reconciliation, and information showing creditor status. Counsel must check whether the statutory petition requirements and evidence are met. Security documents and any genuine dispute over the amount should also be reviewed.
A bankruptcy declaration changes the debtor’s authority over assets within the estate and places administration and realization under the statutory process. It does not mean every operational question has the same answer in every case. The effect on contracts, employees, licences, and ongoing business requires fact-specific advice.
PKPU may provide a statutory process for proposing a composition to creditors, but creditor approval is uncertain and the process does not erase debts. Eligibility, timing, creditor support, and the proposal’s feasibility need review. Counsel should compare the procedural posture and business records before advising on a petition.
Scope depends on whether counsel acts for debtor or creditor, the stage of proceedings, document volume, hearings, and any claim or asset analysis. Ask for a written scope and fee basis, and clarify separate court, curator, translation, or external specialist expenses. Outcomes and recovery cannot be promised.
